These Terms of Use and Privacy Policy (this "Agreement") form a legally binding agreement between you
("User", "you", "your") and LexGPS Inc. ("LexGPS", "we", "us", "our"). By creating an account,
clicking "I agree", sending a case, or otherwise using the LexGPS platform, you agree to this Agreement.
If you do not agree, do not create an account or use the platform.
Important: LexGPS is a technology platform, not a law firm. LexGPS does not provide
legal advice, legal representation, or lawyer referral services. Lawyers may pay LexGPS platform
marketing or technology fees to receive or respond to case opportunities; those fees are not referral
fees, legal fees, or fee-sharing arrangements.
Part A - Terms of Use
1. Platform Role
LexGPS provides online technology tools that help users describe legal issues, organize information,
generate AI-assisted case summaries, search for lawyers, and send case opportunities to lawyers selected
by the user. LexGPS is not a law firm, does not employ or supervise the lawyers listed on the platform,
and does not provide lawyer referral or placement services.
LexGPS does not act as your agent, broker, or fiduciary. Search and matching results may be influenced
by factors such as practice area relevance, location, language, availability, profile information,
user choices, and responsiveness. Such results are not recommendations or guarantees.
2. Eligibility & Account
- You must be at least 18 years old, or the age of majority in your jurisdiction, to use LexGPS.
- You must provide accurate and current information and keep it updated.
- You are responsible for all activity under your account and for maintaining the confidentiality of your login credentials.
- You may register using email or a third-party sign-in service such as Google, but acceptance of this Agreement is required before you may use core platform features.
- You may not impersonate another person, create an account for someone else without authority, or use the platform in violation of applicable law.
3. AI Output; No Legal Advice; No Lawyer-Client Relationship
- All AI-generated output, including summaries, categorizations, cost ranges, risk flags, and matching results, is provided for informational purposes only and does not constitute legal advice.
- AI output may be incomplete, inaccurate, outdated, or unsuitable for your specific facts, and you are responsible for reviewing anything before relying on it or sending it to a lawyer.
- LexGPS does not promise that the platform is suitable for emergencies, imminent filing deadlines, limitation periods, court appearances, or any time-sensitive legal matter. If your matter is urgent, do not rely on platform response times.
- Using LexGPS does not create a lawyer-client relationship between you and LexGPS, and does not create a lawyer-client relationship between you and any listed lawyer unless you and that lawyer separately agree to one, typically in a direct retainer or engagement agreement.
- LexGPS does not endorse, recommend, or guarantee any lawyer, legal strategy, fee quote, availability, or outcome.
4. Sending Cases to Lawyers; Contact Release Timing
When you use the "Send Case" feature, you direct LexGPS to transmit information about your matter to the
lawyer or lawyers you select.
Important: Sending a case and releasing your direct contact details are different steps.
Selected lawyers may first receive screening information about your matter. Your name, email, phone
number, or other direct contact details are generally disclosed only if a selected lawyer affirmatively
accepts or indicates interest through the platform.
- At the time you send a case, LexGPS may disclose to your selected lawyer(s) your case summary, issue category, city or region, language, preferred contact times, and other screening details you choose to submit.
- Selected lawyers may pay LexGPS platform marketing or technology fees when a case opportunity is sent or made available to them. These charges are not referral fees, legal fees, or fee-sharing arrangements, and are not contingent on whether you retain the lawyer or on the outcome of your matter.
- Your direct contact details are generally released only after a selected lawyer affirmatively accepts or indicates interest through the platform.
- Do not include direct contact details or unnecessary identifying information in free-text fields, notes, or attachments unless expressly requested. If you voluntarily include them in the material you submit, LexGPS may not be able to prevent those details from being visible before a lawyer accepts.
- LexGPS may standardize, shorten, format, or redact submitted information for display, safety, abuse prevention, or contact-control purposes, but LexGPS does not verify the completeness or accuracy of your submission.
- Sending a case does not require any lawyer to respond, accept your matter, offer a consultation, or enter into a retainer.
- Any decision by a lawyer to review, decline, accept, communicate with you, quote fees, or provide services is made solely by that lawyer and is outside LexGPS's control.
5. User Obligations
- You agree to provide truthful, accurate, current, and non-misleading information.
- You are responsible for reviewing your case summary and any other information before you send it to a lawyer.
- You may not submit information that you do not have the lawful right or authority to disclose.
- You may not use the platform to harass, defame, impersonate, threaten, submit spam, distribute malware, violate privacy rights, or engage in unlawful activity.
- You may not attempt to bypass access controls, scrape the platform, interfere with system integrity, reverse engineer non-public features, or circumvent payment or contact-release mechanisms.
6. Independent Lawyers; No Endorsement
- Lawyers listed or reachable through LexGPS are independent professionals and are not employees, partners, joint venturers, or agents of LexGPS.
- You are solely responsible for deciding whether to contact, speak with, retain, or pay any lawyer.
- LexGPS does not control and is not responsible for any lawyer's advice, services, conduct, billing practices, conflict checks, availability, malpractice, confidentiality practices, or case outcome.
- Once LexGPS discloses information to a selected lawyer, that lawyer's handling of the information is governed by the lawyer's own professional and legal obligations, and LexGPS cannot control or guarantee that lawyer's conduct.
- Any retainer, fee agreement, consultation, discount, refund, or dispute between you and a lawyer is solely between you and that lawyer.
7. Intellectual Property; User Content License
LexGPS and its licensors own the platform, software, design, trademarks, text, and other platform
materials. Subject to this Agreement, LexGPS grants you a limited, non-exclusive, revocable,
non-transferable right to access and use the platform for your personal, non-commercial use.
You retain ownership of the information and materials you submit to the platform. However, you grant
LexGPS a non-exclusive, worldwide, royalty-free license to host, store, reproduce, process, adapt,
transmit, and display that information as reasonably necessary to operate, secure, maintain, improve,
and support the platform, to generate and display summaries, and to transmit your matter to lawyers
you select. LexGPS may also use de-identified or aggregated data for analytics, security, and product
improvement.
8. Disclaimers; Limitation of Liability
To the maximum extent permitted by applicable law, the platform is provided "AS IS" and "AS AVAILABLE."
LexGPS disclaims all warranties, whether express, implied, statutory, or otherwise, including implied
warranties of merchantability, fitness for a particular purpose, title, non-infringement, availability,
accuracy, and uninterrupted access.
To the maximum extent permitted by applicable law, LexGPS and its directors, officers, employees,
contractors, affiliates, licensors, and service providers will not be liable for any indirect,
incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits,
revenue, business, goodwill, use, opportunity, data, or other intangible losses arising out of or
related to your use of the platform, AI output, lawyer interactions, unauthorized access, data loss,
service interruption, or case outcome.
To the maximum extent permitted by applicable law, LexGPS's aggregate liability for all claims arising
out of or related to the platform or this Agreement will not exceed the greater of CAD $100 and the
total amount, if any, that you paid to LexGPS in the twelve (12) months immediately preceding the event
giving rise to the claim.
Nothing in this Agreement excludes or limits liability that cannot lawfully be excluded or limited.
9. Suspension, Termination & Service Changes
- LexGPS may suspend, restrict, or terminate your access, remove content, or refuse any case submission at any time, with or without notice, if LexGPS believes there is legal risk, fraud, abuse, security risk, inaccurate information, or a violation of this Agreement, or for any other legitimate business reason.
- You may stop using the platform at any time and may request deletion of your account, subject to the retention terms in Part B.
- LexGPS may change, suspend, or discontinue any feature, workflow, pricing model, ranking logic, or availability of the platform at any time.
- Sections that by their nature should survive termination, including intellectual property, disclaimers, liability limits, dispute resolution, and privacy-related provisions, will survive.
10. Changes to This Agreement
LexGPS may update this Agreement from time to time. We will notify you of material changes via email or
an in-platform notification. If a material change requires re-acceptance, you will be prompted to review
and accept the new version before continuing to use the platform. Continued use of the platform after
being notified of non-material changes constitutes acceptance of the updated terms.
11. Dispute Resolution & Governing Law
This Agreement is governed by the laws of the Province of Ontario and the federal laws of Canada
applicable therein, without regard to conflict-of-law principles.
To the maximum extent permitted by applicable law, any dispute, claim, or controversy arising out of or
relating to this Agreement or the platform will be resolved by binding arbitration in Toronto, Ontario
under the Arbitration Act, 1991 (Ontario). Notwithstanding the foregoing, either party may bring an
eligible individual claim in the Small Claims Court of Ontario.
Notwithstanding the arbitration clause above, LexGPS may seek injunctive or equitable relief in any court
of competent jurisdiction for misuse of data, misuse of intellectual property, fraud, abuse, or threatened
harm to the platform or its users. If mandatory consumer protection law gives you a non-waivable right or
renders any dispute term unenforceable, that mandatory law controls to that extent.
Part B - Privacy Policy
This Part B explains how LexGPS collects, uses, discloses, stores, and protects information in connection
with the platform.
12. Information We Collect
- Account Information: name, email address, phone number, city, postal code, preferred language, login method, and basic account settings.
- Case Information: descriptions of your legal issue, AI-generated summaries, answers to intake questions, notes, uploaded materials if any, selected lawyers, and preferred contact times.
- Communications: messages you send to LexGPS, support requests, survey responses, and communications relating to your cases or account.
- Verification and Anti-Abuse Data: verification status, verification timestamps, IP address, device identifiers, log data, and other information reasonably used to authenticate accounts or prevent fraud and abuse.
- Usage and Technical Data: pages visited, features used, session information, browser type, operating system, approximate location derived from IP, and similar analytics or diagnostic information.
13. How We Use Information
- To create, authenticate, operate, maintain, and support your account and the platform.
- To collect your matter details, generate AI-assisted summaries or other informational output, and help you search for or compare lawyers.
- To route your case to lawyers you select and, where applicable, to disclose contact details after a selected lawyer accepts or indicates interest.
- To send service communications, security alerts, updates, and customer support responses.
- To monitor usage, prevent fraud and abuse, enforce this Agreement, investigate complaints, and protect the rights, safety, and security of LexGPS, users, lawyers, and the public.
- To comply with legal obligations and respond to lawful requests.
- To perform analytics, debugging, quality review, and product improvement, including through de-identified or aggregated information where appropriate.
14. Disclosure to Lawyers & Service Providers
LexGPS does not sell your personal information. LexGPS may disclose information in the following
circumstances:
- To lawyers you select: when you send a case, LexGPS may disclose screening information such as your case summary, issue category, city or region, language, and preferred contact times. LexGPS generally discloses your direct contact details only after a selected lawyer affirmatively accepts or indicates interest through the platform.
- If you include contact data in free-text or attachments: LexGPS may not be able to prevent those details from being visible before a lawyer accepts.
- To service providers: LexGPS may use vendors and contractors that help operate the platform, such as hosting, storage, communications, authentication, analytics, security, customer-support, and AI-processing providers. These providers may process information on LexGPS's behalf in Canada or other jurisdictions, subject to appropriate contractual or operational safeguards.
- For legal, safety, and business reasons: LexGPS may disclose information when reasonably necessary to comply with law, enforce rights, investigate misuse, protect safety, prevent fraud, or in connection with a merger, financing, acquisition, reorganization, sale of assets, or similar transaction.
15. Data Retention & Deletion
- LexGPS retains personal information for as long as reasonably necessary to operate the platform, provide services, maintain records, resolve disputes, enforce agreements, prevent abuse, satisfy legal obligations, and preserve backups or audit logs.
- If you request deletion of your account, LexGPS may delete or de-identify information within a reasonable period, subject to technical limitations, legal obligations, backup retention, fraud prevention needs, and other legitimate business purposes.
- Once information has been disclosed to a lawyer you selected, LexGPS cannot control that lawyer's independent retention or deletion practices.
16. Security
LexGPS uses reasonable administrative, technical, and organizational safeguards designed to protect
personal information. However, no system, network, transmission, or storage method is completely secure.
You are responsible for safeguarding your account credentials and for notifying LexGPS promptly if you
suspect unauthorized access or misuse of your account.
17. Your Rights & Choices
- You may review and update certain account information through the platform or by contacting LexGPS.
- You may request access to, correction of, or deletion of personal information that LexGPS holds about you, subject to applicable law and legitimate exceptions.
- You may opt out of non-essential marketing communications, but LexGPS may still send transactional or service-related messages that are necessary to operate your account or the platform.
- Where consent is the legal basis for processing, you may withdraw consent, but doing so may limit or prevent your use of some or all platform features.
